Bylaws of the Tri-County Educational Telecommunication Project

Article 1: Purposes and Goals:

  1. The Tri-County Educational Telecommunication Project (TCETP) is a grass-roots voluntary association of educators, students, parents, and anyone interested in facilitating the advancement of on-line computer telecommunications in the K-12 schools in the Northern California counties of Humboldt, Del Norte, and Trinity.
  2. The TCETP will develop lists of volunteer members and their specific skills from help with funding and equipment to advice on hardware and software, from tutors and mentors to technicians and programmers. The TCETP seeks only to facilitate the individual efforts of those schools that would like its assistance. The individual school (or training center) will be encouraged to develop their own support staff when possible and have total control over the content of their on-line communications. TCETP will provide information and support, but the school will make the final decisions of course. However, the widest possible free sharing of information and conferences will be encouraged.

Article 2: Location and Address:

  1. The principal business of the TCETP will be carried on the "Tele-School Project" conference of various on-line bulletin board systems such as those of Smuggler's BBS and Northcoast Electronic Town's BBS.
  2. The mailing address will be TCETP, c/o Dave Spreen, P.O. Box 113 Kneeland, Ca. 95549.
  3. These bylaws may be amended to reflect changes affecting either the on-line "Tele-School Project" conference or the mailing address of record.

Article 3: Membership and Directors:

  1. Anyone interested in the purpose and goals of the TCETP are welcome to become members. General members may contribute as little or as much as they feel comfortable with, but are encouraged to post in the "Tele-School Project" conference (or by mail) their particular interest or skills and how they would like to be contacted.
  2. A "Volunteer Coordinator" will act as director to facilitate the goals of the TCETP and coordinate activities of the members. The Volunteer Coordinator position may be filled by a majority vote of those present at official meetings and will serve for 6 months at which time the position will be voted on again. Should the current Volunteer Coordinator not be able to serve their term, then a special vote will be held, which will be announced 1 month in advance if possible, to fill the position.
  3. The Volunteer Coordinator may act as spokesperson for the TCETP on matters not requiring a vote of approval by the members.
  4. Committees may be formed to work on specific projects such as grants, school demonstrations and assessment teams.
  5. The addition of directors and officers may be enacted by future amendments to these bylaws.

Article 4: Meetings:

  1. Meetings shall take place both on-line the Tele-School Project conference and off-line at a location and time to be announced at least 1 month in advance when possible. Notice of meetings will be posted in the Tele-School conference and may be mailed to members.
  2. A meeting agenda will be posted by the Volunteer Coordinator as soon as possible after the announcement of a meeting.
  3. Meetings will be scheduled when a consensus of TCETP members request an official meeting be held.
  4. Meetings will be conducted by the Volunteer Coordinator or a person designated by a majority of TCETP members in accordance with the usual rules of order governing such meetings.

Article 5: Voting Rights and Decisions:

  1. All members of the TCETP are eligible to vote on those matters which require a vote for approval by the association.
  2. Voting may be conducted at official meetings only. A simple majority vote by the TCETP members present at official meetings will be necessary for approval or denial of motions or matters being considered by the association.
  3. Minor decisions may be made by a consensus of member's messages as posted in the Tele-School Project conference and tallied by the Volunteer Coordinator.

Article 6: Minutes and Records:

  1. Minutes of all off-line meetings will be recorded and posted to the Tele-Schools Project conference within a reasonable time. On-line meetings will be conducted on the Tele-Schools Project conference and those messages will constitute a record of the on-line meeting.
  2. Records of TCETP membership will be posted in the "TCETP Help & Info" folder carried in the Tele-Schools Project conference area. A back-up record of members will be maintained by the Volunteer Coordinator.
  3. Individual TCETP members will be responsible for backing-up their own TCETP messages.
  4. Records of grant proposals or other important activities of the TCETP will be kept by the Volunteer Coordinator and passed on to the next successor of that position.
  5. All minutes of meetings and association records will be available to all TCETP members for inspection and copying by request in a reasonable time period.

Article 7: Amendment of Bylaws:

  1. The TCETP association Bylaws may be amended by a majority vote of TCETP members at official TCETP meetings.
  2. Proposed amendments to the Bylaws will be posted in the Tele-School Project conference 15 days prior to voting on such amendments.

Certification by Volunteer Coordinator

I, the undersigned, certify that I am presently serving as Volunteer Coordinator of the Tri-County Educational Telecommunication Project association, and the above Bylaws are the Bylaws of the TCETP as adopted at the meeting of the TCETP on April 28,1994.
